This is a full-time position based out of their Boston office.
Responsibilities: The candidate will support the clients' Project Development and Asset Management teams.
Core duties will include:
Drafting, negotiating and advising on a broad range of agreements of varying sophistication related to the business. This could include confidentiality agreements, supplier terms and conditions, consulting services agreements, leases and land option agreements, offer letters, membership interest purchase agreements, credit agreements, tax credit purchase and sale agreements, engineering, procurement and construction contracts, interconnection agreements, offtake contracts, ISDAs and more.
Advising on permitting, environmental, regulatory and licensing matters at the local, state and Federal levels.
Forming project and corporate entities and preparing board and shareholder resolutions and other entity formation documents.
Leading/managing the interaction between external counsel and project teams, closely monitoring external legal costs and ensuring that good relations with external counsel are fostered and maintained.
Working closely with commercial teams comprised of feasibility, development, finance, engineering and other disciplines to manage the development of energy generation projects from early-stage activities to commercial operations.
Qualifications: The candidate will be a qualified attorney of 4-6 years experience, with good corporate and commercial experience and/or exposure to the power industry, whether through an in-house role or at a law firm. Among other things the candidate:
Must possess excellent drafting and negotiating skills and the ability to write clearly and concisely.
Must be able to work directly, proactively and collaboratively with project teams, deal with matters in a timely manner and have the confidence to highlight issues that need to be addressed.
Must demonstrate experience in complicated commercial and corporate transactions, ideally including some secured finance and/or M&A experience.
Must be capable of working independently and with minimal supervision to provide direct legal advice and support to project teams within the organization.
Should show the ability to liaise confidently with senior management on all aspects of the matters the candidate is working on.
Having familiarity with project financing of infrastructure projects, particularly power project financing, M&A, real estate or Federal/state siting and permitting laws would be an advantage.
Having experience working in US ISO/RTO power markets would be an advantage.
